The Board of Directors determines overall business, financial and economic strategies for the Company and the Group and oversees their implementation.
The Board of Directors consists of twelve members, six of whom are independent Directors under French corporate governance guidelines issued by the AFEP/MEDEF corporate governance code of December 2008: Mrs Linda Hasenfratz, Mr Jean-Pierre Clamadieu, Mr Ross McInnes, Mr Eric Bourdais de Charbonnière, Mr Hans-Georg Härter and Mr Lee Gardner. Five Directors directly represent the interests of the majority shareholder. Mr Yann Delabrière is chairman and chief executive officer of Faurecia since February 16, 2007.
The Board considers that its membership adequately reflects the weight in Faurecia's ownership structure of Peugeot SA, its key shareholder. The independent Directors contribute their varied experience, in terms of international exposure and diverse industrial and managerial practice, to the Board’s discussions and work.
With the exception of the Chairman, Yann Delabrière, no member of the Board of Directors holds an executive management or salaried position within a Group company.
